LEGAL MANAGER (M/F) THE JOB: DO Recruitment Advisors is recruiting a Legal Manager for a successful privately held Luxembourg Holding company. In this newly created position, the Legal Manager joins the Luxembourg office to manage the legal, regulatory and company secretariat functions. The role requires someone capable of contributing to the excellence and ongoing development of the office and the services it provides. The role will include being responsible for: - Organising of board and shareholder meetings: o Drafting agendas; o Preparation of board packs and reports; o Liaising with non-Luxembourg resident directors; o Attending and drafting board minutes. - Maintaining statutory records and data bases; - Overseeing regulatory compliance: o Ensuring compliance with current Luxembourg requirements; o Monitoring evolving regulatory laws and best practises; o Recommending strategies to ensure on going compliance; o Acting as MLRO for all KYC requirements; o Being the interface with Luxembourg regulator CSSF. - Managing the execution of legal documentation: o Acting as interface with in-house legal on transactional deal documentation and new funds; o Liaising with external lawyers and other service providers; o Ensuring compliance with internal policies and processes as to execution of all legal documents; o Company/fund formations. - Managing relationships with external legal advisers. - Managing and overseeing 4 direct reports (Paralegals): o Overseeing their work-load; o Reviewing and monitoring their work output; o Encouraging and developing growth of skills and independence of working. - Providing KPIs on the following subjects: o Timing and quality of local legal advice; o Efficiency and effectiveness of company secretarial management, document execution and retention/retrieval; o Efficiency and effectiveness of relationships with legal advisors; o Efficiency and effectiveness of the relationship with the business; o Effective interaction with the Group legal team. THE CANDIDATE PROFILE: The Legal Manager we are looking for is an approachable person with resilience and ability to work under pressure with grace, good humour and a can-do attitude! - A degree in Law is preferred. - Compliance and regulatory experience preferred. - Minimum of 6 years' experience in Luxembourg company administration and international structures. - Deep understanding of corporate investment and private equity. - Tax literate/understanding is preferred. - Fluent in English, French and German are a must. Fluency in Dutch is a strong asset. - Unpretentious, astute, and performance driven. - Analytical, organised, accurate. - Can assimilate complex scenarios and identify risk mitigators and find practical and business orientated solutions to problems. - Ability to set clear expectations/accountabilities and ensure compliance with external and internal processes and requirements. - Has gravitas and act as a strong leader who can develop and maintain effective, co-operative and close working relationships. - Can be a compassionate manager with insight into achieving the best from others. - Has ability to gain fellowship without relying on position of power/authority.
